TERMS OF SERVICE SAVORITA FOR FOOD RETAILER
Siland Group OÜ, and/or its brand (“Savorita” or “we”) provide you with features of the Savorita.eu website (the “Site”) and other products and services (collectively, the “Savorita Services”).
1. GENERAL TERMS AND CONDITIONS OF SAVORITA
Please read these General Terms and Conditions (“General Terms”) carefully before using the Savorita Services. By using the Savorita Services, you agree to be bound by these General Terms.
We offer a wide range of Savorita Services and sometimes you may be subject to additional terms and conditions. If you use a Savorita Service you will also be subject to the general terms, guidelines and conditions applicable to that particular Savorita Service (“Service Terms”), if any. In the event of any conflict between these General Terms and the Terms of Service, the Terms of Service will prevail.
In addition to any terms defined elsewhere in this Agreement, as used in this Agreement, and unless otherwise stated herein, the following words shall have the following definitions:
- “Vendor” or “Food Brand” or “Seller” means any producer of food specialties using Savorita Services.
- “Food Retailer” or “Buyer” means any purchaser of food products listed on Savorita’s website.
- “Country” or collectively “Countries” means any geographic area served by Savorita.
2. ACCEPTING THE SAVORITA SERVICE TERMS
By using or accessing the Savorita website (“Site”), products, and/or content or services provided by Savorita (collectively, the “Services”), Food Retailer, corporate parent and/or its representatives (collectively referenced herein as “Food Retailer” or “You”) agree to be bound by Savorita’s Terms. Any non-standard, customized Food Retailer services and pricing will be negotiated and agreed to in writing signed by both parties.
3. MODIFICATIONS TO THE SAVORITA TERMS
Savorita reserves the right, in its sole discretion, to modify the Terms and conditions for the Services by providing notice to Food Retailer that the Terms have changed, either by email, or through the Services. Food Retailer is responsible for reviewing and becoming familiar with any modifications to the Terms. Modifications are effective when posted, and Food Retailer’s use of the Services following any such posted modification and notice of same constitutes Food Retailer’s acceptance of the Terms and conditions as modified. We reserve the right to adopt changes immediately and without notice if it is necessary to ensure the security of our systems or to comply with laws, rules and regulations.
4. USE OF THE SERVICES
4.1 ELECTRONIC COMMUNICATIONS:
When you use the Savorita Services or send us emails, text messages (SMS) and other communications from your computer or mobile device, you are communicating with us electronically. We may communicate with you in a variety of ways, such as through email, text messaging (SMS), third party apps, or by posting messages and communications on the Site or through other Savorita Services. Subject to specific mandatory provisions of law, for the purposes of this agreement, you agree that all contracts, notices, disclosures and other communications we provide to you in electronic form satisfy the written form requirement when required by law.
4.2 RIGHT TO USE SERVICES SUBJECT TO CONTINUING FOOD RETAILER APPROVAL:
Prior to using the Services, you must be approved as a Food Retailer based upon completion of the Savorita Food Retailer Checklist, submission of appropriate supporting documentation identified on the Savorita Food Retailer Checklist. Once approved, Savorita grants Food Retailer a nonexclusive, non-transferable, right to use the Services. Savorita does not transfer any right, title, or ownership interest of any kind in the Services. All rights not expressly granted by these General Terms or the Terms of Service shall remain with Savorita or its licensors, suppliers, publishers, owners or other service providers. Food Retailer has an affirmative duty to ensure that the information and documents provided to Savorita are up to date. At any time, Food Retailer may be asked to revise, update, or resubmit the Savorita Food Retailer Checklist and any appropriate supporting documentation to requalify as a Food Retailer. Failure to timely submit the Savorita Food Retailer Checklist, supporting documents making any misrepresentation or false statement in the Food Retailer Checklist, supporting documents; failure to timely update; or in Savoruta’s sole and exclusive discretion, failure to submit adequate supporting documents requested by Savorita personnel may result in the immediate termination of the right to use the Services.
4.3 SERVICE CHANGES AND LIMITATIONS:
The Services currently consist of, but are not limited to, the access to buy from Savorita’s catalogue of Vendor’s products for sale to wholesale; facilitating communications between Vendor and Food Retailer purchaser; arranging and facilitating orders, by requesting order approval from Vendor and updating catalogs based on minimum and maximum order information provided by Vendor; arranging and facilitating the shipment of products on behalf of Vendor, through third party logistics operators; facilitating the flow of payments between buyer and vendor, through third party digital payment platforms; providing Vendor and Food Retailer with customized consulting and marketing services related to import and export.
The Services may change frequently and their form and functionality may change without notice to the Food Retailer. Savorita reserves the right to create limits relating to the use of the Services in its sole discretion at any time with or without notice or liability. Savorita may also impose limits on certain Services or aspects of such Services or restrict Food Retailer’s access to parts or all of the Services without notice or liability. Savorita may modify, suspend or discontinue any or all of the Services at any time, including the availability of any services, features, databases or content (“Savorita Content”). Savorita may also suspend accounts at any time, in its sole discretion.
4.4 THE ROLE OF SAVORITA:
Savorita allows third party vendors to have their products on the online catalogue of the Savorita.eu website and third party buyers to buy the products included in the catalogue, and to take advantage of the Savorita Services. The detail pages of each product indicate whether the product is sold by a third party. As a provider of Services and provider of the e-commerce site, Savorita facilitates the transactions that take place on the site, but is not a party to the contract of sale of the goods sold by these third party vendors. Savorita therefore remains extraneous to this contract, which is exclusively between the buyer and the vendor.
Savorita assumes no responsibility for the contract of sale and its proper execution, and does not act in any way as an agent of the Vendor. The Vendor is ultimately responsible for the sale of the products and the management of disputes with the buyer.
4.5 SUGGESTIONS AND CUSTOMIZATION:
As part of the Savorita Services, we will suggest features, products and services to you, including third-party advertisements that may be of interest to you and, in addition, identify your preferences and personalize your experience.
4.6 MAINTENANCE AND SUPPORT:
Savorita is solely responsible for providing any maintenance and support services with respect to the Services. Any questions, complaints or claims with respect to the Services should be directed to Savorita at the following email address: email@example.com.
4.7 LIMITATIONS ON AUTOMATED USE:
Food Retailer may not do any of the following while accessing or using the Services: (a) access, tamper with, or use non-public areas of the Services, or the computer or delivery systems of Savorita and/or its service providers; (b) probe, scan, or test any system or network (particularly for vulnerabilities), or otherwise attempt to breach or circumvent any security or authentication measures; (c) access or search or attempt to access or search the Services by any means (automated or otherwise) other than through our currently available, published interfaces that are provided by Savorita (and only pursuant to those terms and conditions), unless Customer has been specifically allowed to do so in a separate agreement with Savorita, (d) scrape the Services, and particularly scrape Savorita Content from the Services, without express prior written consent from Savorita; (e) copy, modify, create a derivative work of, reverse engineer, reverse assemble or otherwise attempt to discover any source code; (f) use the Services to send altered, deceptive, or false source-identifying information, including without limitation by forging TCP-IP packet headers or e-mail headers; or (g) interfere with, or disrupt, (or attempt to do so), the access of any end-user, other licensee host or network, including, without limitation, by sending a virus to, spamming, or overloading the Services, or by scripted use of the Services in such a manner as to interfere with or create an undue burden on the Services.
4.8 ERRORS, INACCURACIES AND OMISSIONS:
Occasionally there may be information on our website or in the Service that contains typographical errors, inaccuracies or omissions that may relate to product descriptions, pricing, promotions, offers, product shipping charges, transit times and availability. We reserve the right to correct any errors, inaccuracies or omissions, and to change or update information or cancel orders if any information in the Service or on any related website is inaccurate at any time without notice (including after you have submitted your order). We assume no obligation to update, change or clarify any information in the Service or on any related website, including but not limited to product information, except as required by law. No update date specified in the Service or on any related website shall be deemed to indicate that any information in the Service or on any related website has been changed or updated.
4.9 ORDERING AND PAYMENT
Buyers can place an order after a direct contact with a Savorita representative.
Buyers must compile a Request for Quotation, using Savorita actual format provided by Savorita, including all products and quantity requested. Minimum order quantity applies.
Buyers will be offered by Savorita a customized quotation of the available products requested, based on shipping location and volume of products, and a lead time for the delivery. Since most of the products are artisan made products and farm products, availability and lead time can vary during the year.
Buyers will receive an order confirmation by Savorita with the instructions and options to provide the advanced payment.
The order is considered placed by a buyer only when the payment is confirmed. If the payment is not confirmed, the order is not considered placed.
We accept all major credit cards for payment and bank transfer. We do not accept payments by check at this time. If you have any problems using your credit card to complete an order, please call your contact at Savorita and we’ll be happy to assist you.
When placing your order, we will be authorizing your credit card based on the total stated amount in your order summary. Your order will then be charged when it ships.
4.10 SHIPPING AND DELIVERY
Packages are shipped using a pallet shipping service chosen by Savorita.
The ownership of the Products will be transferred to the buyer at the time of shipment, that means at the time of delivery of the Product to the carrier (Shipping). The risk of loss or damage to the Products, for reasons not attributable to Savorita, on the other hand, will be transferred to the buyer when the buyer or a third party designated by him and other than the carrier, materially comes into possession of the Products.
When the products the buyer ordered arrive, it is mandatory that the buyer immediately check the integrity of the package and the goods and must make sure that the packaging is intact. Otherwise, we invite the buyer to leave the package with the courier and immediately notify us of the incident; the buyer must always sign the document that is delivered by the courier by adding the phrase ‘Accepted with Reserve’. In this way it will be easier to make use of the possibility of requesting reimbursement for any damage due to transport; if the package received is damaged or the contents are incomplete, the buyer must take pictures of both the outside and the inside, and contact Savorita immediately. The Savorita contact will explain how to send them back and thus begin any expense reimbursement procedure.
4.11 COMBATING FRAUD AND THEFT
We take a very active approach to combating fraud and theft, both with orders placed for our products and keeping your information safe and secure. It is a violation of law to place orders under a false name or with an invalid or stolen credit card. We will take all steps possible to prosecute all people placing fraudulent orders to the fullest extent of the law possible. If we deem any order as a potential for fraud, we may require additional information to confirm the validity of your order, including a picture of the credit card used along with a valid government issued identification.
We take equal steps to ensure that when you order with us your information is protected and secure. We employ advanced encryption methods and use SSL technology to ensure that any information you submit to us is safe and secure. We also work with independent third party companies that monitor our website daily and notify us of any potential vulnerabilities that a hacker could exploit, which, if found, we then immediately correct.
4.12 RETURNS OF DEFECTIVE OR DAMAGED GOODS
Although we recommend that the vendors inspect and carefully package each item, there is a possibility of spoilage or damage while in transit. We can accept the return of any non-perishable, canned or packaged food item if that product is still in its original packaging – we cannot accept returns of opened or partially consumed items. To make sure that you are satisfied with the product you receive, inspect the contents as soon as they arrive. Please store the items appropriately and call us within 24 hours of receipt. We can arrange a return or exchange for you or you can reship the order back to us only once you have spoken with your Savorita contact. We can not accept returns that have not been authorized, so we urge you not to refuse delivery or send back items without calling us first.
Once the items have been received back by the vendor, the items will be inspected. Items need to be in perfect resellable condition in order for us to issue credit on the return. A credit for the cost of the item will then be issued.. Shipping charges are non refundable. All returned items are subject to a 10% restocking fee.
We are not responsible for products that spoil due to: packages left at the door for extended periods of time, packages sent back to freight location because nobody was available to sign for them, or delays in delivery times due to incorrect or incomplete addresses. We also can not be responsible for an item you return that never arrives to us or arrives damaged, so please make sure you insure any returned packages.
4.13 PRICING CHANGES AND SHELF LIFE
Our products are subject to availability due to weather and seasonal variations. We reserve the right to make changes to its pricing to reflect changes in market supply. We pledge to make the Food Retailer aware of any changes as soon as it is possible.
For every product, the shelf life indicated on the product page refers to the production date. Since many products are made with seasonal natural vegetables, the shelf life when the product is delivered may change significantly from the ones shipped.
The products for sale on Savorita are not rapidly perishable products and therefore the expiry date is replaced by the minimum shelf life, expressed by the words “to be consumed preferably by (date)”, which represents the date by which a food retains its specific properties in suitable storage conditions. The minimum shelf life differs from the expiry date because, after the date stated, it is still possible to consume the product. Therefore, the minimum shelf life is to be referred only to the organoleptic characteristics and to the liking of the product and not to food safety. It is the business practice of Savorita Vendors to ship products with adequate minimum shelf life to buyers, also taking into account the quantities purchased. In any case, the minimum shelf life will always be at least three months later than the shipping date, unless the Buyer has been expressly informed and has explicitly accepted products with a lower minimum shelf life.
4.14 Savorita Services and the business generated
The Buyer acknowledges that Savorita invests considerable resources in the generation and assistance of Food Retailers and Food Brands, with the anticipation of a continuous and growing business of the Seller with such Food Retailers, therefore it undertakes not to engage in independent business relationships with such Food Brands present on Savorita website, also for the twelve months following the eventual termination of this contract.
As it is difficult to estimate the expanding and growing nature of such businesses, Buyer acknowledges that the following provisions constitute a fair and reasonable estimate of the damage and damages that may be suffered by Savorita as a result of the breach of this Section 4.14. In the event that the Buyer should violate these Terms, Savorita may immediately collect the “Liquidated Damages”, calculated according to the following formula: Liquidated damages = C * 2. Where, C is the highest overall Commission earned by Savorita from the sale of all the Seller’s products to the Food Retailer, during one calendar month from the start of the contract. Savorita will be able to collect damages immediately upon the discovery by Savorita of the actual violation of this article in one or more countries and the presentation of a written notice to the Buyer.
INFORMATION YOU PROVIDE TO US
In the course of doing business either by shopping on our website or by talking with our customer service representatives, you will willingly provide us with some personal information, such as your name, address, contact information and shopping choices. By providing this information to us, you authorize us to store this information, use it to complete the fulfillment of your order, use it to provide suggestions to make your shopping experience better, and for following up with communications regarding your order. We may also use this information for future marketing to you. At times we work with other third-party companies and we may share information about you with them, such as with Shipping companies, to complete the fulfillment of your order, or with companies in a cooperative marketing effort. Any credit card information you provide to us for completing your order is never shared with anyone and is only ever used to complete an order transaction. If you only wish to have your information used by us and for the fulfillment of your order and not shared with any third-party companies, simply email us to let us know.

6. INFORMATION DISCLAIMER / DISCLAIMER OF WARRANTIES
FOOD RETAILER UNDERSTANDS AND AGREES THAT THE SERVICES ARE PROVIDED TO FOOD RETAILER ON AN “AS IS” AND “AS AVAILABLE” BASIS. SAVORITA EXPRESSLY DISCLAIMS ALL WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO WARRANTIES OF TITLE, MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. FOOD RETAILER’S ACCESS TO AND USE OF SERVICES OR ANY SAVORITA CONTENT IS AT FOOD RETAILER’S OWN RISK.
Savorita makes no representations or warranties of any kind with respect to the Services, including any representation or warranty that the use of the Services will (a) be timely, uninterrupted or error-free or operate in combination with any other hardware, software, system or data, (b) meet Food Retailer’s requirements or expectations, (c) be free from errors or that defects will be corrected, or (d) (for online services) be free of viruses or other harmful components. Savorita also makes no representations or warranties of any kind with respect to Savorita Content or Vendor Content, including, but not limited to, nutritional, dietary, ingredient and allergen information, which is solely provided by and is the exclusive responsibility of the Vendor providing that content. Any opinions, advice, statements, services, offers, or other information expressed or made available by Food Retailer and/or third parties through the Services are those of the respective authors or distributors and not of Savorita nor its affiliates, nor any of its officers, directors, employees, or agents. If, at our request, you send certain specific submissions or without a request from us you send creative ideas, suggestions, proposals, plans, or other materials, whether online, by email, by postal mail, or otherwise (collectively, ‘comments’), you agree that we may, at any time, without restriction, edit, copy, publish, distribute, translate and otherwise use in any medium any comments that you forward to us. We are and shall be under no obligation (1) to maintain any comments in confidence; (2) to pay compensation for any comments; or (3) to respond to any comments. Food Retailer acknowledges that Savorita does not pre-screen third party content, but that Savorita and its designees shall have the right (but not the obligation) in their sole discretion to relocate, remove or refuse to utilize any content that is available via the Services. Without limiting the foregoing, Savorita and its designees shall have the right to remove any content that violates the Terms or is otherwise objectionable to Savorita, other vendors or Customers. Food Retailer specifically agrees that Savorita is not responsible for any content sent using and/or included in the Site by any customer or other third party.
7. LIMITATION OF LIABILITY
We will use our best efforts to ensure that access to the Savorita Services is provided without interruption and that transmissions occur without error. However, due to the nature of the Internet, uninterrupted access and error-free transmission cannot be guaranteed. In addition, your access to the Savorita Services may also be occasionally suspended or restricted to allow for the performance of repair work, maintenance, or the introduction of new activities or services. We will attempt to limit the frequency and duration of these suspensions and limitations.
Food Retailer understands and agrees that to the fullest extent permitted by applicable law, Savorita, its directors, officers, stockholders, employees, representatives, consultants, agents, suppliers, and/or distributors, shall not be liable for any indirect, incidental, special, consequential, exemplary or punitive damages, including, but not limited to, any loss of use, loss of profits, loss of revenue, loss of data, loss of goodwill, cost of procurement of substitute services, property damage, personal injury, or any other indirect, incidental, special, consequential, exemplary or punitive damages, howsoever caused, and on any theory of liability, whether for breach of contract, tort (including negligence and strict liability), or otherwise resulting from: (1) the use of, or the inability to use, Savorita services, (2) the cost of procurement of substitute services, goods and/or site, (3) unauthorized access to or alteration of vendor’s transmissions or data, (4) the statements or conduct of any vendor or third party on our site, (5) reliance on content or postings on our site or application, or (6) any other matter relating to our site, or services. These limitations will apply whether or not Savorita has been advised of the possibility of such damages and notwithstanding any failure of essential purpose of any limited remedy.
To the maximum extent permitted by applicable law, the total liability of Savorita and its directors, officers, shareholders, employees, representatives, consultants, agents, subsidiaries, subcontractors, and/or affiliates, for any claim, including for any express or implied warranties, is limited to the last amount Food Retailer paid Savorita to use the applicable service(s) prior to the event giving rise to the liability claim.
8. RELEASE FROM LIABILITY
Food Retailer releases, to the fullest extent permitted by applicable law, Savorita, its directors, officers, shareholders, employees, representatives, consultants, agents, subsidiaries and/or affiliates from responsibility, liability, claims, demands, and/or damages (actual and consequential) of every kind and nature, known and unknown arising out of or in any way connected with the following:
Disputes arising due to transportation handling of products received; Disputes between Vendors and Food Retailers, including without limitation disputes related to the intellectual property rights of Vendor and/or Food Retailer; Third party sites and services, including content found on such sites and services; Disputes relating in any fashion to food ordered by Food Retailer(s), including food quality, labeling, or any other claim by Food Retailers’ end users or consumers. Claims relating to the unauthorized access to any data communications or customer Content stored under or relating to Food Retailer’s User Account, including unauthorized use or alteration of such communications or Food Retailer’s Content.’ TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, YOU, ON BEHALF OF YOUR HEIRS, EXECUTORS, ADMINISTRATORS, LEGAL AND PERSONAL REPRESENTATIVES, HEREBY RELEASE, WAIVE, ACQUIT AND FOREVER DISCHARGE SAVORITA FROM AND AGAINST, AND COVENANT NOT TO SUE SAVORITA FOR, ALL CLAIMS YOU HAVE OR MAY HAVE ARISING OUT OF OR IN ANY WAY RELATED TO THESE TERMS.
Some jurisdictions do not allow the exclusion or limitation of incidental or consequential damages, so the above limitation or exclusion may not apply to you. Some jurisdictions also limit disclaimers or limitations of liability for personal injury from consumer products, so this limitation may not apply to personal injury claims. No provision contained herein is intended to limit, nor will it limit, our liability for fraud, gross negligence or willful misconduct on the part of Savorita or for death or personal injury due to negligence on the part of Savorita.
9. INDEMNIFICATION OF SAVORITA
To the fullest extent permitted by applicable law, Food Retailer agrees to indemnify, defend and hold harmless Savorita, its past and present directors, officers, shareholders, employees, representatives, consultants, agents, subsidiaries and/or affiliates from and against any and all actual and alleged liability, losses, claims, demands, disputes, damages, awards, judgments, obligations, penalties, interest, fees, expenses, or costs of any kind, whether known or unknown, including, without limitation, reasonable attorneys’ fees and costs of litigation, resulting from or in any way connected with (a) postings or other content Food Retailer submits or that are submitted from Food Retailer’s User Account, (b) Food Retailer’s use of or reliance on Savorita Services, (c) any personal injury or property damage claims related to a Vendor’s preparation, packaging, labeling, transport and delivery of food, or (d) Food Retailer’s violation of this Agreement. Savorita shall have no liability to the extent that any suit or claim arises from or was caused by the negligence or willful misconduct of any of any Vendor, 3PL facility, or Food Retailer, a defective food product prepared, packaged, or labeled by any Vendor, or Vendor, 3PL facility or Food Retailer’s violation of local, national, international laws or regulations.
Unless otherwise specified by Savorita, the use of the Services requires the payment of fees (the “Fees”). The Services and related Fees may also be described in a specific agreement submitted and signed as a separate contract. Savorita reserves the right to change the Fee structure at any time. All Fees are quoted in Euros. Savorita may, in its sole discretion, change the functionality of the Services, or the Terms under which the Services are provided.
11. INTELLECTUAL PROPERTY / USE OF TRADEMARKS
All right, title and interest to the content displayed on our Site, including, but not limited to, the look and feel, data, information, text, graphics, images, audio or video materials, photographs, designs, trademarks, service marks, trade names, URLs and content provided by third parties, are the property of Savorita, or the respective vendors or third parties, and are protected by copyright, trademark, patent or other proprietary rights and laws. The graphics, logos, page headers, icon buttons, fonts and service marks included in or made available through any of the Savorita Services are trademarks of Savorita. Savorita’s trademarks and service marks may not be used in connection with any product or service that is not Savorita’s, in any manner that is likely to cause confusion among customers, or in any manner that disparages or discredits Savorita. All other trademarks not owned by Savorita that appear on any of the Savorita Services are the property of their respective owners, who may or may not be related, connected to or sponsored by Siland Group OÜ.
Food Retailer agrees to comply with all applicable copyright and other laws, as well as any additional copyright notices or restrictions contained on the Site. Food Retailer acknowledges that the Site contains original works that have been developed, compiled, prepared, reviewed, selected and prepared by Savorita and others through the application of methods and parameters of judgment developed and applied at considerable expense of time, effort and money and that constitute valuable intellectual property of Savorita and such others. All present and future rights in trade secrets, patents, designs, copyrights, trademarks, database rights, service marks, know-how and other intellectual property or other proprietary rights of any kind, documentation, any improvements, design contributions or derivative works, and any related knowledge or processes, including rights to and on all applications and registrations relating to the Site, shall be and remain at all times the sole and exclusive property of Savorita.
Except as expressly authorized by Savorita, Food Retailer agrees not to copy, modify, rent, lease, loan, sell, assign, distribute, perform, display, license, reverse engineer or create derivative works based on our Site on any Savorita Content available through the Site. You may not use data mining, robots, or similar capture or extraction devices to extract (one or more times) for reuse any substantial portion of any Savorita Service, without our express written consent. Nor may Food Retailer create and/or publish its own database that reproduces substantial portions (e.g., prices, descriptions and product listings) of the Savorita Services without our express consent. Any use of Savorita’s trademarks, branding, logos and other resources in connection with the Services, such as the SAVORITA word mark or Savorita logo, shall be in connection with Food Retailer’s internal use and not for external promotion or public relations, unless approved by Savorita.
Either party may terminate the use of or provision of Services at any time by notifying the other party in writing. Savorita may also terminate or suspend Food Retailer’s access to or ability to use any and all Services immediately, without prior notice or liability, for any or no reason. In the event that Food Retailer has purchase orders outstanding at the time of Termination, Food Retailer shall be required to fulfill all payment obligations and Savorita shall be obligated to deliver the ordered products.
Upon termination of Food Retailer’s access to or ability to use a Service, including but not limited to suspension of a Food Retailer on a Service, Food Retailer’s right to use, access or advertise that Service on Food Retailer website and Food Retailer’s ability to use any Savorita Content will immediately cease. Termination of Food Retailer’s access to and use of the Services shall not relieve Food Retailer of any obligations arising or accruing prior to such termination or limit any liability that Food Retailer otherwise may have to Savorita or any third party.
If any term, clause or provision of these Terms is held invalid or unenforceable, then that term, clause or provision will be severable from these Terms and will not affect the validity or enforceability of any remaining part of that term, clause or provision, or any other term, clause or provision of these Terms.
Any provision that is reasonably necessary to carry out or enforce the purposes of these General Terms and any Additional Terms will survive and remain effective as set forth in the respective terms even upon termination or withdrawal from these General Terms or the applicable Additional Terms.
15. LEGAL DISPUTES
Food Retailer and Savorita agree that they will resolve any legal claim or dispute or equity arising out of the Services in accordance with this Section or as otherwise agreed to in writing by Food Retailer and Savorita. Before resorting to litigation, Food Retailer agrees to contact Savorita directly to seek a resolution in writing at the following email firstname.lastname@example.org.
LAW AND FORUM FOR LEGAL DISPUTES: The Savorita Service for Food Retailer shall be governed in all respects by the laws of Italy, without regard to conflict of law provisions. Any and all dispute between the parties must be prosecuted solely and exclusively in the court of Lecce, and Food Retailer agrees to consent to personal jurisdiction and venue of those courts and waives all defenses based on inconvenient forum.
These Terms constitute the entire agreement between Food Retailer and Savorita relating to your access to and use of the Site and your use of the Services. These Terms, and any rights and licenses granted hereunder, may not be transferred or assigned by Food Retailer without the prior written consent of Savorita. No waiver of any provision of these Terms will constitute a waiver of such provision in any prior, concurrent or subsequent circumstance, and Savorita’s failure to assert any right or provision under these Terms shall not constitute a waiver of such right or provision. Except as otherwise provided herein, these Terms are intended solely for the benefit of the parties and are not intended to confer third party beneficiary rights upon any other person or entity.
